Please read these Terms carefully. They contain important provisions regarding your rights and obligations, limitation of liability, and dispute resolution.

Kooli is a peer-to-peer package shipping platform that connects individuals travelling internationally (Travelers) with individuals who wish to send packages to destinations abroad (Senders). Kooli operates primarily along African diaspora travel corridors.
Kooli is a matchmaking intermediary only. The Platform facilitates introductions and coordination between Travelers and Senders. Kooli is not a carrier, freight forwarder, courier, customs agent, or logistics provider. Kooli does not take physical possession of any package, does not process payments between users, and assumes no responsibility for the transport, delivery, condition, or customs clearance of any package.
The Platform is operated by Kooli. References to you or user refer to any person accessing or using the Platform, whether as a Traveler, Sender, or both.

By using Kooli, you represent and warrant that you meet all of the above requirements. We reserve the right to verify your identity at any time and to suspend accounts where information provided is found to be inaccurate or misleading.

A single Kooli account may act simultaneously as both a Traveler and a Sender, but roles are context-specific per individual Trip and Booking.
Travelers
Travelers are users who publish Trips on the Platform, indicating their travel itinerary, available carrying capacity (in kg), and price per kg. Travelers agree to carry packages on behalf of Senders in accordance with the Terms of each accepted Booking.
Senders
Senders are users who submit Booking requests on published Trips to have packages transported to their desired destination.
Self-Booking Prohibition
Users may not book their own published Trips. This restriction is enforced at the platform level.

Trip Lifecycle
Booking Lifecycle
Cancellations
A Traveler may cancel a Trip (and all associated Pending Bookings) only while the Trip is in Published status. Once a Trip is In Progress, it may no longer be cancelled. Once a Booking is Accepted, neither party may unilaterally cancel it; cancellation of an Accepted Booking requires the Sender to submit a cancellation request, which the Traveler must approve. Pending Bookings are automatically cancelled without prejudice if the Trip departs before they are accepted.
Reference Numbers
Each Trip is assigned a reference in the format T-XXXXXXXX; each Booking in the format B-XXXXXXXX. These references should be retained for your records.

Senders must not request the transport of, and Travelers must not carry, any of the following:
Senders are solely responsible for ensuring that package contents comply with all applicable laws. Travelers are strongly encouraged to inspect packages before acceptance and may decline any shipment at their sole discretion. Kooli accepts no liability for loss, seizure, fines, or legal consequences arising from prohibited items.

Kooli does not process, hold, escrow, or facilitate any payment between Travelers and Senders. Any compensation agreed between parties is arranged entirely outside the Platform and is solely the responsibility of the parties concerned.
Kooli accepts no liability for payment disputes, non-payment, fraud, or any financial loss arising from transactions between users.
Users are solely responsible for any tax obligations (including income tax, VAT, or customs duties) arising from compensation received or payments made in connection with use of the Platform.

Travelers are responsible for complying with all customs declaration requirements in the country of departure, any transit countries, and the country of destination. Travelers must declare packages as required by law and must not make false or misleading declarations to customs authorities.
Senders are responsible for accurately disclosing the contents, value, weight, and dimensions of their packages to the Traveler prior to handoff.
Neither Kooli nor any Traveler acts as a licensed customs agent or broker. Users are advised to seek independent customs advice for high-value or regulated goods.
Kooli accepts no responsibility for customs seizures, fines, penalties, or legal proceedings arising from any shipment arranged through the Platform.

Following the completion of a Trip or Booking, users may be invited to rate and review one another. Ratings must be honest, good-faith assessments based on actual experience.
The following are strictly prohibited:
Kooli reserves the right to remove ratings that violate these Terms and to suspend or permanently ban accounts engaged in abusive conduct.

To the maximum extent permitted by applicable law, Kooli shall not be liable for:
Where liability cannot be excluded by law, Kooli's aggregate liability to any user shall not exceed the total fees paid by that user to Kooli in the twelve (12) months preceding the event giving rise to the claim.

All intellectual property rights in the Kooli Platform, including its software, design, trademarks, and content, are owned by or licensed to Kooli. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for personal, non-commercial purposes in accordance with these Terms.
You must not copy, modify, distribute, sell, reverse-engineer, or create derivative works of any part of the Platform without our prior written consent.
By submitting content to the Platform (including profile information, trip details, and messages), you grant Kooli a worldwide, royalty-free licence to use, store, and display that content for the purpose of operating and improving the Platform.

Kooli may suspend or permanently terminate your account at any time, with or without notice, if:
You may delete your account at any time through the Platform settings. Upon deletion, your personal data will be handled in accordance with our Privacy Policy. Completed Trip and Booking records may be retained for the period required by applicable law.
Termination of your account does not affect any rights or obligations that arose prior to termination.

We may update these Terms from time to time to reflect changes in our services, applicable law, or business practices. We will provide at least 30 days notice of any material changes via in-app notification or email.
Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may delete your account.

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict-of-law provisions.
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the competent courts of Paris, France, unless applicable consumer protection law requires otherwise.
If you are a consumer resident in the European Union, you may also refer disputes to your national consumer protection authority or use the EU Online Dispute Resolution platform.

Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kooli with respect to your use of the Platform.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Failure by Kooli to enforce any provision shall not constitute a waiver of our right to enforce it in the future.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. Kooli may assign these Terms in connection with a merger, acquisition, or sale of assets.
